These Website Terms of Use (the “Terms of Use” or “Terms”) govern your access to and use of the website at nashua.dexafit.com and any related pages, tools, and interactive features we operate that link to these Terms (collectively, the “Site”). The Site is operated by DexaFit Nashua, LLC (“DexaFit Nashua,” “we,” “us,” or “our”), an independently owned and operated business located at 98 Spit Brook Road, Suite 004, Nashua, New Hampshire.
These Terms of Use cover the website only. Your purchase and use of our in-person assessment services are governed separately by our Service Terms & Conditions and our Privacy Policy. If anything in these Terms of Use conflicts with the Service Terms & Conditions in connection with a booking, purchase, or assessment, the Service Terms & Conditions govern.
1. Acceptance and Eligibility
By accessing or using the Site, you agree to these Terms of Use and to all applicable laws and regulations. If you do not agree, do not access or use the Site.
You must be at least 18 years old to use the Site. By using the Site, you represent that you are 18 or older.
We may revise these Terms of Use from time to time by posting an updated version on this page. The “Last Modified” date above reflects the current version. Your continued use of the Site after a revision is posted means you accept the change.
2. Our Relationship with DexaFit Corporate
DexaFit Nashua, LLC is an independently owned and operated business. We license the DexaFit® trademark and the DexaFit software platform from DexaFit, Inc. and its subsidiaries and affiliates (collectively, “DexaFit Corporate”). DexaFit Nashua is not owned, operated, managed, controlled, staffed, or supervised by DexaFit Corporate, and DexaFit Corporate is not responsible for the services, equipment, premises, personnel, or conduct at our location, or for the content of this Site.
These Terms of Use apply to this Site only. The DexaFit mobile applications, the DexaFit software platform, and dexafit.com are operated by DexaFit Corporate and are governed by DexaFit Corporate’s own terms of service and privacy policy, available at dexafit.com.
3. Privacy
Our Privacy Policy, available at nashua.dexafit.com/privacy, describes how we collect, use, store, and disclose personal information in connection with the Site and our services. It is incorporated into these Terms of Use by reference.
4. No Medical Advice; No Patient or Client Relationship
The Site provides general information and education about wellness assessment. It does not provide medical advice, diagnosis, or treatment, and it is not a substitute for advice from your physician or another qualified healthcare provider. Your use of the Site does not create a patient, client, or professional relationship between you and DexaFit Nashua.
Do not use information on the Site to start, stop, or alter any medical treatment, medication, supplement, or healthcare activity without consulting your healthcare provider, and do not disregard or delay seeking professional advice because of something you read here. If you are experiencing a medical emergency, dial 911 immediately.
5. Site Tools, Calculators, and Interactive Features
The Site may include interactive features such as quizzes, calculators, charts, reference ranges, and results-visualization tools. These are provided for general education and to help you understand what our assessments measure.
They are not assessments. They are not based on your own measured data unless you enter it yourself, and their output is not a result, a score, a diagnosis, or a recommendation. Reference ranges and population comparisons shown in these tools are drawn from published sources and from equipment manufacturers’ reference databases, are approximate, and may not reflect your age, sex, ethnicity, body type, or health history. Do not rely on the output of any Site tool in making decisions about your health, training, or nutrition.
6. Disclaimer of Warranties
THE SITE AND ALL CONTENT ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OR REPRESENTATIONS OF ANY KIND. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Site will be uninterrupted, secure, error-free, or free of harmful components.
Information on the Site may be accurate only as of the date it was posted, and we have no obligation to update it. Your use of the Site and its content is at your own risk. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, DEXAFIT NASHUA AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SITE, OR ANY ERROR OR OMISSION IN ITS CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS OF USE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). NOTHING IN THIS SECTION LIMITS OR EXCLUDES LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD. This Section applies to the Site. Liability arising from our in-person assessment services is addressed separately in the Service Terms & Conditions.
8. Feedback and Unsolicited Submissions
If you send us suggestions, ideas, proposals, or other unsolicited materials about our business or the Site (“Feedback”), you agree that the Feedback is not confidential and that we may use it for any purpose without obligation, attribution, or compensation to you.
This Section does not apply to your personal information. Any personal information, contact details, health or wellness information, questionnaire responses, or assessment-related information you provide to us — including through our contact form, intake forms, scheduling platform, or email — is handled in accordance with our Privacy Policy and, where applicable, our Service Terms & Conditions, and is not treated as Feedback.
9. Intellectual Property
The DexaFit® name, logo, and related marks are owned by DexaFit Corporate and used by us under license. The original content on this Site — including our blog articles, guides, photography, illustrations, charts, page copy, and the design, selection, and arrangement of the Site — is owned by DexaFit Nashua or its licensors and is protected by copyright and other intellectual property laws.
Use, reproduction, copying, or redistribution of these marks or this content without our written permission is prohibited. Neither these Terms of Use nor your access to the Site transfers to you any right, title, or interest in any intellectual property, except for the limited license below. We reserve all rights not expressly granted; there are no implied licenses.
Limited license. We grant you a personal, non-exclusive, non-transferable, revocable license to access and use the Site and to download or print material from it for your own personal, non-commercial use only. All copyright and proprietary notices must be retained on any copy.
10. Restrictions on Use
You agree not to:
sell, lease, license, or sublicense the Site or any content accessible through it;
decompile, disassemble, or reverse engineer the Site, in whole or in part;
create any derivative work based on the Site or its content;
use the Site in violation of any applicable law or these Terms of Use;
use the Site for competitive analysis, to develop competing products or services, for spamming, or for any other purpose to our commercial disadvantage;
retrieve, index, scrape, harvest, data mine, or otherwise systematically gather or store content from the Site, or use content from the Site to train, fine-tune, or develop any machine-learning or artificial-intelligence model, except that we grant operators of public search engines revocable permission to use spiders to copy materials solely to the extent necessary to create publicly available searchable indices (but not caches or archives);
transmit to or through the Site any unlawful, infringing, harmful, harassing, defamatory, threatening, obscene, offensive, or otherwise objectionable material, or any unsolicited advertising or promotional material;
attempt to gain unauthorized access to any part of the Site or any server, computer, or database connected to it;
use the Site in any way that encourages or facilitates criminal activity;
transmit any malware, spyware, virus, worm, Trojan horse, or other harmful or destructive code; or
copy, reproduce, distribute, republish, download, display, post, or transmit any part of the Site except as expressly permitted in Section 9.
Any future release, update, or addition to the Site is subject to these Terms of Use.
11. Copyright Complaints
If you believe content on the Site infringes a copyright you own or control, please send us a written notice at nashua@dexafit.com, or by mail to DexaFit Nashua, LLC, 98 Spit Brook Road, Suite 004, Nashua, NH 03062, including:
a physical or electronic signature of a person authorized to act on behalf of the owner of the right allegedly infringed;
identification of the copyrighted work claimed to have been infringed (or a representative list, if multiple works);
identification of the material claimed to be infringing, with information sufficient to let us locate it;
your name, address, telephone number, and email address;
a statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
a statement that the information in the notice is accurate and, under penalty of perjury, that you are authorized to act on the owner’s behalf.
We will review notices we receive and remove or disable access to material where appropriate.
12. Reviews, Testimonials, and Other Submissions
If you submit a review, testimonial, photograph, comment, or similar content to us, or post it on a page we operate (a “Submission”), you represent that it is your own, that it is accurate and reflects your honest experience, and that it does not infringe anyone’s rights or violate anyone’s privacy.
You grant us a non-exclusive, royalty-free license to reproduce, display, and distribute your Submission in connection with marketing and promoting DexaFit Nashua — including on the Site, in email, and on our social media accounts — together with any name or initials you provided with it. You may withdraw this license at any time by contacting us at nashua@dexafit.com. We will stop using the Submission in materials we control going forward, though we cannot recall materials already printed, distributed, or cached by third parties.
We are not obligated to monitor Submissions, and we may remove, decline to display, or edit any Submission for length or clarity at our discretion. We do not acquire any rights in your assessment data or wellness information through this Section; that information is governed by the Service Terms & Conditions and the Privacy Policy.
If you believe a Submission violates these Terms of Use or your rights, contact us at nashua@dexafit.com. We may disclose the identity of a person who made a Submission to a party claiming that the Submission infringes their intellectual property or privacy rights, to the extent permitted by law.
13. Third-Party Sites, Tools, and Integrations
The Site may link to or integrate with websites, plug-ins, and applications operated by third parties, including our online scheduling and payment platforms, the DexaFit platform operated by DexaFit Corporate, and social media services. We do not routinely screen, approve, review, or endorse their content, products, or services, and we disclaim responsibility for them.
If you use a tool on the Site that exports information to a third-party service, you consent to that transfer, and your use of that service becomes subject to its own terms and privacy policy. Third-party services are not under our control. If you do not wish to export your information, do not use the third-party interface.
14. Electronic Communications
Communications between you and DexaFit Nashua may take place by electronic means, whether you use the Site, send us email, or we post notices on the Site or email you. For contractual purposes, you (a) consent to receive communications from us in electronic form, and (b) agree that all terms, agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that they be in writing. This does not affect your non-waivable rights. Marketing communications and text messaging are addressed in our Privacy Policy and in Section 17 of the Service Terms & Conditions.
15. Termination
These Terms of Use remain in effect until terminated. You may terminate them at any time by ceasing all use of the Site. We may terminate them, or suspend or deny your access to the Site, at any time and at our sole discretion, without liability to you.
On termination, the license granted in Section 9 ends. Provisions that by their nature should survive — including Sections 6, 7, 8, 9, 10, 12, 16, 17, and 18 — survive termination.
16. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless DexaFit Nashua and its owners, officers, employees, contractors, and agents (the “Indemnitees”) from and against all third-party claims, losses, damages, costs, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your access to or use of, or inability to access or use, the Site; (b) your breach of these Terms of Use; (c) any Submission you make; or (d) your violation of applicable law or the rights of a third party — except to the extent caused by an Indemnitee’s gross negligence, willful misconduct, or fraud. We may assume the exclusive defense and control of any matter subject to indemnification, and you will cooperate; you will not settle any matter without our prior written consent.
17. Governing Law; Dispute Resolution; Time to Bring Claims
These Terms of Use are governed by the laws of the State of New Hampshire, excluding its conflict-of-laws rules.
Arbitration. Any dispute, claim, or controversy arising out of or relating to the Site or these Terms of Use is subject to the informal resolution requirement, the binding individual arbitration agreement, and the class-action and jury-trial waivers set out in Section 24 of our Service Terms & Conditions, which are incorporated into these Terms of Use by reference — including the 30-day right to opt out described there. Subject to that Section, any action that proceeds in court will be brought exclusively in the state or federal courts located in Hillsborough County, New Hampshire, and you consent to their jurisdiction.
Time to bring claims. To the fullest extent permitted by law, any claim arising out of or relating to the Site or these Terms of Use must be commenced within one (1) year after it arises; otherwise it is permanently barred.
18. General
Severability. Each provision operates separately. If any provision is held invalid or unenforceable, the remaining provisions remain in full force, and the limitation of liability and exclusion of damages continue to apply even if a remedy is found to have failed of its essential purpose.
No third-party beneficiaries. Nothing in these Terms of Use confers rights, remedies, or benefits on any third party, except that DexaFit Corporate is an intended beneficiary of Sections 2 and 9.
Assignment. You may not assign or transfer these Terms of Use without our prior written consent. We may assign them freely. These Terms of Use bind permitted successors and assigns.
No waiver; interpretation. Our failure to enforce any provision is not a waiver of it. Section titles are for convenience only. “Including” means “including without limitation.” Neither party is an agent or partner of the other.
Entire agreement. These Terms of Use, together with the Privacy Policy, constitute the entire agreement between you and DexaFit Nashua regarding your use of the Site. They do not supersede the Service Terms & Conditions, which separately govern the purchase and use of our assessment services; where those Terms & Conditions apply, they govern.
